Section 8
Formation of Board of Directors and Term of Directors
: (1) On the date of establishment (hereinafter referred to as “the Committee”) there shall be five directors as follows:-
(a) The General Manager of the Institute,
(b) one person elected by the general meeting from amongst the non-government share holders,
(c) One person nominated by the Government of Nepal for government shares (d) One person nominated by the Government of Nepal from among the people who are famous in the field of journalism publication or literature,
(e) One person elected from among the shareholder employees working in the company.
(2) Unless there is a provision to be elected by the general meeting or unless there is a provision to be elected from among the employees of the shareholders under clause (e) of sub-section (1), the directors who are elected by the shareholders will also be nominated by the Government of Nepal.
(3) The chairman of the committee will be appointed by the Government of Nepal and if no chairman is appointed, the committee will be chaired by the general manager of the institute.
(3a) The term of office of directors elected or nominated under clauses (b), (c), (d) and (e) shall be four years and they may be re-elected or nominated after the expiry of their term of office.
(4) Notwithstanding anything written in sub-section (3A), the Government of Nepal may nominate any other person in his place if the term of office of the director nominated under clauses (c) and (d) of sub-section (1) is not completed.
(5) Directors nominated by the Government of Nepal will be automatically dismissed in their case after the directors are elected by the employees of the company from the general meeting.

(3a) The term of office of directors elected or nominated under clauses (b), (c), (d) and (e) shall be four years and they may be re-elected or nominated after the expiry of their term of office.
(4) Notwithstanding anything written in sub-section (3A), the Government of Nepal may nominate any other person in his place if the term of office of the director nominated under clauses (c) and (d) of sub-section (1) is not completed.
(5) Directors nominated by the Government of Nepal will be automatically dismissed in their case after the directors are elected by the employees of the company from the general meeting.
